Terms of Service

1. Acceptance of Terms

By accessing or using the Kiku platform, IDE extensions, web dashboard, and related services (the "Service") provided by Jishu Labs, Inc. ("Jishu Labs", "we", "us"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of Service

Kiku is a context-aware AI code completion engine that integrates with your IDE to provide intelligent code suggestions based on your project's architecture, patterns, and team decisions. The Service includes IDE extensions (VS Code, JetBrains, Cursor), a web-based dashboard, chat assistant, and related APIs.

3. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update it as needed. You must be at least 16 years old to create an account.

4. Subscription Plans and Billing

Kiku offers multiple subscription tiers:

  • Starter (Free): Limited completions and single project indexing for individual developers
  • Pro ($19/month): Unlimited completions, full Jishu Labs ecosystem integration, and all IDE support
  • Team ($49/seat/month): Shared team patterns, admin controls, SSO, and on-premise deployment

Paid subscriptions are billed in advance on a monthly or annual basis. You may cancel at any time; your access will continue until the end of the current billing period. Refunds are available within 14 days of initial purchase if you are not satisfied.

5. Acceptable Use

You agree not to:

  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to develop competing products or services
  • Exceed rate limits or attempt to circumvent usage restrictions
  • Share account credentials or allow unauthorized access
  • Use the Service for any illegal or unauthorized purpose
  • Transmit malicious code or attempt to compromise system integrity

6. Intellectual Property

You retain all rights to your code and projects. Jishu Labs does not claim ownership of any code you write using Kiku. Code suggestions generated by Kiku are provided for your use and become part of your project. The Kiku platform, including its software, algorithms, documentation, and branding, remain the property of Jishu Labs.

7. AI-Generated Content

Kiku uses artificial intelligence to generate code suggestions. While we strive for accuracy, AI-generated content may contain errors, security vulnerabilities, or inappropriate suggestions. You are responsible for reviewing, testing, and validating all code suggestions before incorporating them into your projects. Kiku is a tool to assist development, not a replacement for professional judgment.

8. Service Availability

We strive to maintain 99.9% uptime for cloud-based features. However, the Service is provided "as is" and we do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. Local features of the IDE extension continue to function during cloud outages.

9. Limitation of Liability

To the maximum extent permitted by law, Jishu Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

Either party may terminate the agreement at any time. You can delete your account through the settings page. We may suspend or terminate your account for violation of these terms with notice. Upon termination, your right to use the Service ceases and we will delete your data in accordance with our Privacy Policy.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law provisions. Any disputes shall be resolved in the courts located in San Francisco County, California.
